These Terms and Conditions govern your use of our platform as a vendor. By registering and listing your products or services on e-Spaces Marketplace, you agree to comply with and be bound by the following terms. Please read them carefully.

1. Introduction
e-Spaces Marketplace provides an online platform for vendors to sell educational resources, tutoring services, and related products. These Terms and Conditions apply to all vendors using the e-Spaces Marketplace.

2. Eligibility
To become a vendor on e-Spaces Marketplace, you must:

Be at least 18 years old.

Provide accurate and complete registration information.
Comply with all applicable laws and regulations.

3. Registration and Account Security
You must create an account to sell on e-Spaces Marketplace.
You are responsible for maintaining the confidentiality of your account information and password.
You agree to immediately notify e-Spaces Marketplace of any unauthorized use of your account.

4. Vendor Responsibilities;

Product Listings: Ensure that all product descriptions, prices, and other details are accurate and up-to-date.
Compliance: Adhere to all applicable laws, regulations, and e-Spaces Marketplace policies.
Customer Service: Provide prompt and professional customer service, including handling inquiries, returns, and refunds.
Quality Control: Ensure that all products and services offered meet the quality standards expected by customers.

5. Fees and Payments
Commission Structure: For the first 1,000 vendors, e-Spaces Marketplace will take a 6% commission on total monthly sales for the first six months. Beyond this, the commission structure will depend on the product offering.

Payment Schedule: Payments to vendors will be processed on a regular schedule as defined by e-Spaces Marketplace.

Deductions: e-Spaces Marketplace reserves the right to deduct any applicable fees, taxes, or other charges from your payouts.

6. Independent Contractor Status
Vendors are independent contractors and not employees of e-Spaces Marketplace. As such, you are responsible for your own taxes, insurance, and other obligations. You do not have authority to enter into contracts or create obligations on behalf of e-Spaces Marketplace.

7. Intellectual Property
Ownership: You retain ownership of your intellectual property but grant e-Spaces Marketplace a non-exclusive, worldwide license to use, display, and distribute your content on our platform.
Infringement: You warrant that your listings do not infringe on the intellectual property rights of others.

8. Prohibited Activities
Vendors must not:

Sell counterfeit or illegal items.
Engage in fraudulent or deceptive practices.
Use the platform to harass or harm others.

9. Termination
e-Spaces Marketplace reserves the right to suspend or terminate your account if you violate these terms or engage in activities that harm the platform or its users.

10. Limitation of Liability
e-Spaces Marketplace is not liable for any direct, indirect, incidental, or consequential damages arising from your use of the platform. Our liability is limited to the amount of fees you have paid to us in the past 12 months.

11. Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of State of Delaware. Any disputes arising from these terms will be subject to the exclusive jurisdiction of the courts of the State of Delaware.

12. Amendments
e-Spaces Marketplace reserves the right to amend these Terms and Conditions at any time. We will notify you of any changes via email or through our platform.
